The Wounded Warrior Project (WWP) Legal Counsel & Compliance Director oversees the WWP legal compliance, ethics, and internal audit programs. The Legal Counsel & Compliance Director reviews and evaluates legal compliance issues and risk within the organization to ensure the WWP Board of Directors, management, and teammates comply with WWP policies and procedures, and federal, state, and regulatory agencies laws, rules, and regulations. 

DUTIES & RESPONSIBILITIES

  • Oversee a comprehensive, ongoing process to assess, measure, and evaluate legal compliance risk. Prepare and deliver reports on compliance risk to organizational stakeholders, e.g., Executive team, Audit & Risk Committee, and the Board of Directors.
  • Oversee the WWP Internal Audit team and assist with the evaluation, assessment, and testing of the organizations’ internal controls and processes.
  • Serve as the Ethics Officer and principal point of contact for legal compliance issues for the organization. Serve as an independent review and evaluation body to ensure ethical and compliance issues and concerns are appropriately evaluated, investigated, and resolved.
  • Respond to allegations of violations of rules, regulations, policies, and procedures by evaluating allegations and recommending initiation of investigative procedures as appropriate. Develop and oversee a system to uniformly manage, investigate, and respond to allegations of violations.
  • Initiate, develop, maintain, and revise policies and procedures to reduce compliance risk, while maintaining a commitment to the WWP organizational culture, mission, and vision.
  • Identify trends and potential areas of legal compliance vulnerability and risk. Develop and implement corrective action plans to resolve problematic issues. Provide general guidance to avoid or manage future similar situations.
  • Establish effective working relationships and work collaboratively with WWP teammates, including attorneys, Finance, Accounting, Programs, and Human Resources to direct compliance issues to the appropriate channels for investigation and resolution. Consult with senior management to resolve difficult compliance issues.
  • Ensure proper reporting of violations or potential violations to duly authorized enforcement agencies as appropriate and as required.
  • Develop and maintain relationships with state government officials and agencies staff.
  • Serve as a liaison among the organization, government and nonprofit regulators, and watchdog groups by appropriately responding to any consumer protection or regulatory inquiries, investigations, or litigation.
  • Monitor legislation and proposed regulations affecting the organization’s compliance responsibilities, e.g., fundraising regulations and tax proposals at the state and federal levels.
  • Collaborate with Human Resources staff to develop training for teammates to ensure a culture of compliance.
  • Collaborate with Internal Audit staff to measure and track compliance, particularly in high risk areas.
  • Coordinate compliance activities with WWP teammates and leaders across the organization.
  • Oversee and manage activities of teammates with compliance responsibilities, e.g., brand enforcement and records management.

  • Demonstrated understanding of legal compliance, ethics, and internal audit programs.
  • Demonstrated ability to develop a legal compliance program that balances risk and allows the organization to achieve its strategic goals. Demonstrated business acumen.
  • Demonstrated ability to analyze complex legal issues.
  • Strong working knowledge of federal and state compliance laws and regulations impacting the organization.
  • Strong working knowledge of Westlaw, LexisNexis, and similar legal, government, and business information sources.
  • Demonstrated understanding of relationship management and partnering. Exceptional interpersonal skills.
  • Demonstrated ability to interact effectively with diverse individuals, collaborate, and establish and build effective working relationships within WWP organization and externally with members of the public, government officials, staff, and regulators.
  • Strong presentation skills. Confident communicator, with demonstrated ability to present information effectively to large audiences, small groups, and individuals, and serve as a representative of the organization.
  • Strong organizational and time management skills. Ability to quickly adapt to changing priorities.
  • Demonstrated ability to establish credibility, be decisive, influence others, and influence change.
  • Demonstrated commitment to continuous learning to enhance knowledge in legal compliance and other relevant subjects, and better support the organization.
  • High energy level. Self-starter; willing to take initiative.
  • Strong written and verbal communication skills.
  • Demonstrated understanding of Wounded Warrior Project and its mission, values, programs and services, and the impact of these programs and services on wounded warriors and their families.
  • Proficient using Microsoft Office, e.g., Word, Excel, PowerPoint, Outlook.

 EXPERIENCE

Requirements

  • Ten years of experience as in-house counsel in a legal department or as an attorney in a law firm.
  • Three years of legal compliance experience.
  • Two years of experience with ethics officer responsibilities.
Preferences

  • Five years of non-profit compliance experience.
  • Two years of staff management experience.
EDUCATION

Requirements

  • Juris doctor (J.D.) degree.
CREDENTIALS or LICENSURE
